Terms and Conditions
These Terms and Conditions govern your use of the ZAEIM Tech website and any services, proposals, or engagements provided by ZAEIM Tech.

By accessing our website, requesting a quote, or signing a project agreement with us, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.
1. About These Terms
These Terms and Conditions are a binding agreement between you ("you", "Client") and ZAEIM Tech ("we", "us", "our"), a business technology company based at House 46, Road 2, Block i, Bashundhara R/A, Dhaka, Bangladesh. Where you sign a separate proposal, statement of work, or service agreement with us, that document will set out the specific terms for that engagement and will prevail over any conflicting general term in this document.
2. Services We Provide
We provide business technology services including but not limited to: POS systems, ERP solutions, mobile applications, web development, cloud services, data engineering, SEO, and digital marketing. The exact scope, deliverables, timeline, and pricing of any engagement will be set out in a separate proposal or statement of work agreed between us in writing.
3. Eligibility and Use of Website
You must be at least 18 years old and have the legal capacity to enter into binding contracts to engage our services. By using our website, you agree to:
- Provide accurate and current information in any form you submit.
- Not use the website for any unlawful, harmful, or fraudulent purpose.
- Not attempt to gain unauthorised access to the website, its servers, or other users' data.
- Not introduce viruses, malware, or any other harmful code.
- Comply with all applicable laws in Bangladesh and in your jurisdiction.
4. Engagement and Proposals
Any quotation, proposal, or estimate we provide is valid for the period stated within it (and otherwise for 30 days from issue). A project begins only when both parties have agreed in writing to the scope and commercial terms and any required deposit has been received.
5. Fees and Payment Terms
Fees are payable in the currency and on the schedule stated in the relevant proposal or statement of work. Unless agreed otherwise:
- A deposit may be required before work begins.
- Milestone or monthly invoices are payable within 14 days of issue.
- Overdue invoices may attract late-payment interest at a reasonable commercial rate.
- Work may be paused or deliverables withheld where invoices remain unpaid beyond 30 days.
- All fees are exclusive of applicable taxes, including Bangladesh VAT and any equivalent foreign taxes, which the Client is responsible for paying.
6. Change Requests and Scope
If you request changes to an agreed scope, we will assess the impact on timeline and cost and issue a written change order. Work on a change request begins only after the change order has been accepted.
7. Client Responsibilities
To allow us to deliver on time and to budget, you agree to:
- Provide timely access to information, content, systems, and stakeholders required for the project.
- Review deliverables and provide feedback within the timelines agreed in the proposal.
- Designate a single primary point of contact authorised to make decisions on your behalf.
- Ensure that any materials you provide do not infringe the rights of any third party.
8. Intellectual Property
Unless agreed otherwise in writing:
- On full payment of all fees due, ownership of the final, project-specific deliverables passes to the Client.
- We retain ownership of any pre-existing tools, frameworks, libraries, components, and know-how used to create the deliverables, and grant you a non-exclusive licence to use them as part of the deliverables.
- Third-party software, fonts, images, and other licensed materials remain subject to their respective licence terms.
- We may reference completed projects in our portfolio and marketing materials, in a manner that does not disclose confidential information, unless you instruct us in writing not to.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other in connection with an engagement, and to use it only for the purposes of that engagement. This obligation continues for three years after the engagement ends, except for information that is publicly available, independently developed, or required to be disclosed by law.
10. Warranties and Disclaimers
We will perform our services with reasonable skill and care and in line with industry standards. Beyond that, the website and our services are provided "as is" and we make no other warranties, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law:
- Our total aggregate liability arising out of or in connection with any engagement shall not exceed the total fees paid by the Client to ZAEIM Tech under that engagement during the 6 months preceding the event giving rise to the claim.
- Neither party shall be liable for any indirect, consequential, special, or punitive damages, including loss of profits, loss of revenue, loss of data, or business interruption.
- Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.
12. Indemnification
You agree to indemnify and hold ZAEIM Tech harmless against any third-party claim arising from (a) content, data, or materials you supply, (b) your breach of these Terms, or (c) your unlawful use of our services or website.
13. Suspension and Termination
Either party may terminate an engagement by written notice if the other party materially breaches these Terms or the relevant statement of work and fails to cure the breach within 14 days of being notified. On termination:
- You will pay for all work performed and approved expenses incurred up to the date of termination.
- Each party will return or destroy the other party's confidential information on request.
- Provisions intended to survive termination (such as confidentiality, IP, and liability) will remain in force.
14. Force Majeure
Neither party will be liable for delays or failure to perform due to events beyond its reasonable control, including natural disasters, internet or power outages, strikes, pandemics, government actions, or acts of war.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the People's Republic of Bangladesh. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Dhaka, Bangladesh, unless the parties agree to resolve the dispute through arbitration.
16. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
